Terms of Service

By accessing or using the services provided by Sidekick (formerly Sidekick Wallet, Inc) ("Company," "we," "our," or "us"), including our website at getsidekick.xyz, APIs, software, and any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms").

If you do not agree to these Terms, you may not access or use the Services. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Sidekick provides enterprise cryptocurrency infrastructure solutions, including but not limited to:

• White-label wallet infrastructure
• Trading platform technology
• Payment processing solutions
• Market data services
• API integrations

The specific features and functionality available to you depend on your service agreement with us.

To use the Services, you must be at least 18 years old and have the legal capacity to enter into binding contracts. By using the Services, you represent and warrant that you meet these requirements.

You may not use the Services if you are located in, or a citizen or resident of, any jurisdiction where such use would be prohibited by law or where we do not offer our Services.

If you create an account with us, you are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Ensuring all information provided is accurate and current

We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for extended periods.

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Services for any illegal or unauthorized purpose
• Violate any applicable laws, regulations, or third-party rights
• Attempt to gain unauthorized access to any part of the Services
• Interfere with or disrupt the Services or servers
• Transmit any malicious code, viruses, or harmful content
• Use the Services to facilitate money laundering, terrorism financing, or other financial crimes
• Circumvent any security measures or access controls
• Resell or redistribute the Services without our prior written consent

The Services, including all content, features, and functionality, are owned by Sidekick and are protected by copyright, trademark, and other intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your business purposes. This license does not include:

• The right to modify, copy, or create derivative works
• The right to reverse engineer or decompile any software
• The right to remove any proprietary notices or labels
• The right to use our trademarks without permission

Fees for the Services are set forth in your service agreement. Unless otherwise specified:

• All fees are due in accordance with your payment terms
• Fees are non-refundable except as expressly stated
• We may modify fees with 30 days' notice
• Overdue payments may result in service suspension

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or secure. We are not responsible for any losses resulting from the use of cryptocurrency, blockchain technology, or digital assets.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIDEKICK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THE SERVICES.

Our total liability for any claims arising under these Terms shall not exceed the greater of (a) the fees paid by you during the 12 months preceding the claim, or (b) $100.

We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice. Upon termination:

• Your right to use the Services will immediately cease
• You must stop using all Services and delete any copies
• Provisions that by their nature should survive will survive
